No component in the bundle clears the acquisition threshold once decomposed and evaluated against the operator's current capability and the liabilities attached to each asset.
Why
The acquisition case rested on an implicit assumption: that the bundle was more valuable as a whole than its parts, and that the acquisition cost was justified by the compound value of owning the full set. Decomposition dissolves that assumption.
The only non-replaceable component — conversion and market data accumulated over the prior operating period — had been extracted and internalized before the acquisition was formally evaluated. That extraction was legitimate and complete. The acquisition now offers:
- Liabilities (platform account health, brand reputation debt)
- Replaceables (catalog, operational knowledge)
- Already-owned value (conversion data, market learning)
There is no component remaining that the operator cannot build, replace, or that is not already owned. The sum of the bundle is negative when liabilities are correctly weighted.
The AI-native fresh build, by contrast, starts with a clean account, a clean brand, and the most valuable asset already owned. It inherits no platform risk, no rating history, no customer expectation debt, and no baggage from a prior operating model that the new architecture is designed to supersede.
Why-Not
Why not acquire just the catalog and customer data, separating the disqualified components? A partial acquisition negotiation adds transaction cost and relational complexity without changing the fundamental calculus. The catalog is replaceable. The customer data's transferability is legally unclear under platform terms. Neither component alone justifies the friction of a partial deal.
Why not acquire and immediately rebrand, isolating the venture from the liability? Rebranding dissolves the brand component's value while the account health and reputation debt liabilities remain attached to the platform account. The disqualifying findings in C7-006 are not resolved by a rebrand; they travel with the account's history, not the name.
Why not preserve optionality by keeping negotiations open? Open negotiations create soft obligation and maintain attention cost without producing information. The decomposition is complete. The conclusion is stable. Keeping the question open to preserve optionality is false optionality — it holds resources against a decision already made.
